6.2 Qualified Zone Academy Program (QZAB) Financing Presentation
- Minutes
- Jon Armstrong from KNN Public Finance, gave a presentation on Qualified Zone Academy Bonds (QZAB) Program financing. Walking the Board through how the QZAB works, Mr. Armstrong said that in order to take advantage of the program, the District must qualify and receive authorization from the State. The District then issues QZAB's, with investors giving money to the District. The IRS gives the investor annual income tax credit, which constitutes the bulk of yield to the investor. The District then repays the original amount borrowed plus low supplemental interest to investor. Qualifications include: 35% of students at site qualify for free & reduced lunches Bancroft and John Muir Middle Schools and San Leandro High School each qualify 10% contribution from private sector partners The District has applied for $5 million in QZAB financing and OSIsoft and Lit San Leandro are generously providing the 10% contribution needed "Academy" or similar program The District's S.T.E.A.M (Science, Technology, Engineering, Arts and Mathematics) Academy has been approved by the Board, and by the State for QZAB financing. One Academy can operate on multiple campuses Proceeds from the QZAB will pay for some technology and certain Measure B Projects. This will free up Measure B funds to pay for other technology projects, which is allowable under bond language. The loan will be paid back from savings realized through the Measure M solar projects. Mr. Armstrong also noted that QZAB's are paid for by the District and repaid with savings, and not a tax levied to taxpayers, as in General Obligation Bonds. The Board thanked Mr. Armstrong for the presentation. Questions and comments raised by the Board included approval and timeline around the implementation of the S.T.E.A.M. Academy, how the energy savings is calculated, and how projects at the sites are identified. The Board also thanked OSIsoft and Lit San Leandro for their 10% contribution needed so that the District can obtain this bond.

During this transition, the online payment solution for pre-funding student nutrition accounts (parents who prepay for their kids? nutrition accounts) will have to be switched as well and involve a new payment processor. Currently, Pay Pros, Inc. processes and settles all online credit card transactions. With the migration to the new software NutriKIDs, a new processor will take over. The new processor is Heartland Payment Systems, the parent company of Heartland School Solutions. It is recommended that the Board approve the migration from Pay Pros, Inc. to Heartland Payment Systems. There is no cost to the District. Parents will continue to be assessed a $1.95 per transaction.

Lopez .; Yes Vince J. Rosato .; Yes Jason Toro .
- Background Information
- The Board of Education for San Leandro Unified School District holds two regular meetings each month typically on the first and third Tuesday each month. As part of the budget development timeline, districts are required to submit an adopted budget to the Alameda County Office of Education before June 30, 2014. The adopted budget will include fiscal years 2014-2015, 2015-2016 and 2016-2017. In order to adopt the fiscal year 2014-15 budget and Local Control Funding Formula (LCFF), districts are required to develop the Local Control Accountability Plan (LCAP). The District Budget Development Timeline has to be in alignment with the LCAP process. Currently there are three Board meetings scheduled for June 2014. Because the LCAP plan will not be ready by the June 3 Board meeting and to keep the number of meetings to two each month, the Superintendent is recommending canceling the June 3, 2014, Regular Board meeting, with the two remaining Regular Board meetings being June 17 and June 24 (for the Adoption Budget). The revised Board meeting calendar is attached.

- Board Committee
- Facilities and Technology Committee: April 24, 2014; February 19, 2014; January 29, 2014.
- Background Information
- The District has undertaken installation of a solar power generation system at various campus sites, and is proposing to ?capitalize? the projected stream of annual reductions in its electric power bills resulting from solar power generation by entering into a financing lease structured in compliance with the federal Qualified Zone Academy Bond program. The result will be (a) a 15 year financing lease of approximately $5,145,000, $5,000,000 of which will be a QZAB loan that pays the lender in the form of federal income tax credit at a rate determined by the federal government, plus a supplemental periodic cash interest payment expected to be about 2.17% annually (against a not to exceed authorization of 2.25% in the Resolution), plus (b) a single non-QZAB one year lease payment not to exceed $145,000 principal amount plus taxable annual interest at a rate of 1%. Bank of America Merrill Lynch has proposed to provide a financing lease within these parameters. Since the federal tax credit is not an expense of the District, this is effectively a 15 year financing lease at an anticipated annual rate of 2.25%. (A conventional 15 year tax-exempt lease financing for the District would have a rate maybe in the high 3%, more likely in the low 4% range in the current market.) Lease payments are structured to fit within the projected annual energy cost reductions in every year of the 15 year life of the lease, with some savings remaining each year. (The solar provider projected savings are shown over a 20 year period; however, aside from all other factors, 15 years seems to be about the maximum lease term that a bank lender will approve in the current market.) While internally, staff is budgeting annual lease payments to fall within the projected annual energy cost reductions, the financing lease remains purely a general fund obligation of the District regardless of the amount, presence or absence of energy cost savings in any year, for which the District is obligated to appropriate annually 100% the entire amount of the lease payments due for that year. The asset to be leased is the land and improvements of Washington Elementary School. The federal QZAB program rules require that the proceeds be spent either for elements of an educational ?Academy? program or on facilities that such an Academy will use. The District plans to spend the $5,000,000 in QZAB proceeds on projects which consists generally of fiber optic connections, network and technology upgrades and modernization projects (collectively, the ?Projects?) to be located at the Bancroft Middle School S.T.E.A.M. Academy (Science, Technology, Engineering, Arts and Mathematics), the John Muir Middle School S.T.E.A.M. Academy (Science, Technology, Engineering, Arts and Mathematics) and the San Leandro High School S.T.E.A.M. Academy (Science, Technology, Engineering, Arts and Mathematics), as more particularly described in the District?s QZAB applications to the State Department of Education. QZAB program rules require approval from the State Department of Education, which has been granted, and private sector ?partner? contributions in goods, services or cash to the District for the Academy program in an aggregate present value amount of 10% of the amount of the QZAB loan, or $500,000 in this case. The District has received commitments in this aggregate amount, and is in the process of obtaining from contributors evidence satisfactory to tax counsel that goods and services components are valued at true market prices. The timeline remains to close within May, though if the solar project should delay start of energy production sufficiently, for any reason, that may be a reason to delay the QZAB financing accordingly, tax counsel at Jones Hall has to sign off on the adequacy of evidence that contributed goods and services are valued at true market prices and financing documents must be finalized the lender. Included in this Board packet are: Resolution authorizing a financing lease and accompanying forms of the financing lease and other required documents to implement the financing Sets a maximum lease principal amount of $5,150,000, a maximum supplemental annual interest rate of 2.25% and maximum financing costs of $150,000. Authorizes district staff to prepare and finalize the lease and other financing documents. Designates the Superintendent and Associate Superintendent as the Authorized Officers of the District. Authorizes the Authorized Officers of the District to enter into the transaction provided that principal amount does not exceed $5,150,000, interest rate paid by the District does not exceed 2.25%, financing costs do not exceed $150,000 and the lease term does not exceed 15 years. Authorizes the use of professional services (Jones Hall as bond counsel and KNN Public Finance as financial advisor). Authorizes lease payments to be made from the general funds of the District. Pro-forma estimate of financing lease numbers, including lease payments, supplemental interest. The District Financial Advisor will be present at the Board meeting and can respond to any questions the Board or public has.

11.4 Amendment to the Joint Occupancy Lease Agreement between San Leandro Unified School District and American Outdoor Advertising at the Pacific Sports Complex and Burrell Field 📎 1
- To
- Board of Education
- Minutes
- This item was pulled from the agenda. It will be brought back at the May 20, 2014, Board meeting.
- Staff Recommendation
- Approve the First Amendment to the Agreement with American Outdoor Advertising, which includes a final negotiated benefit, to design, permit, fund, construct and operate one (1) double-sided outdoor digital billboard sign on the District's property located along the I-880 highway at 2599 Teagarden Drive in San Leandro, CA. Signing of the SLUSD Board approved contract is pending approval from the State Board of Education.
- Board Committee
- Facilities and Technology Committee: April 30, 2014
- Background Information
- As part of our efforts to generate revenue to support the Pacific Sports Complex and Burrell Field, the San Leandro Unified School District invited the submittal of proposals from qualified parties to design, permit, construct and operate one (1) double-sided outdoor digital billboard sign on the District's property located along the I-880 highway at 2599 Teagarden Drive in San Leandro, CA. This project was posted to our District Web Site as the SLUSD Digital Billboards Project #2013-5. The deadline for submittal was May 24, 2013, at 3:00 P.M. and the District received one proposal from American Outdoor Advertising. On November 19, 2013, the Board of Education approved a Joint Occupancy Agreement between the District and American Outdoor Advertising at the Pacific Sports Complex and Burrell Field. The original Agreement was written taking Government Code section 17524(a), which states that the Board of Education can ?enter into a contract?, but that it shall not enter into a contract ?until the governing board has submitted the proposal to the State Board of Education (SBE) and the SBE has approved the proposal.? Subsequently, it was determined through correspondence with the Field Consultant from the California Department of Education, School Facilities and Planning Division, liaison to the State Board of Education, that State Board of Education action for the approval of a digital sign was not necessary. After review from the District?s legal counsel, counsel recommended that the District amend the previous agreement, citing the correct Government Code sections (5956, 5956.2, 5956.5), which is now in First Amendment to the Joint Occupancy Lease Agreement. American Outdoor has determined the necessary permitting requirements based on potential regulatory restrictions and is currently working on the necessary approvals. American Outdoor will be responsible for all costs incurred relative to the sign from permit fees, sign fabrication and installation, utilities, insurance and ongoing maintenance.

11.5 Adopt Resolution No. 14-22 Determining that Burrell Field Digital Display Sign Project is Categorically Exempt from CEQA and Approving the Project 📎 2
- Fiscal Impact
- The fiscal impact would be beneficial. Approval of the Project will provide additional revenues for the District at a minimum of $10,000 per month.
- To
- Board of Education
- Minutes
- This item was pulled from the agenda. It will be brought back to the May 20, 2014, Board meeting.
- Staff Recommendation
- Adopt Resolution No. 14-22 determining that the Burrell Field Digital Display Sign Project (?Project?) is categorically exempt from the California Environmental Quality Act (?CEQA?) as both Class 1 and Class 14 Categorical Exemptions and approving the Project.
- Board Committee
- Facilities and Technology Committee: April 30, 2014
- Background Information
- The District developed the Project, which consists of a single off-premise advertising sign and associated equipment at Burrell Field near I-880. There would be two digital displays (facing opposite directions) that would be 14 feet tall and 48 feet wide. The overall height of the sign would be up to 80 feet. The District would contract with a sign company to construct and use the sign for which rent would be paid to the District. The District published a Request for Qualifications and Proposals and held a community meeting on January 27, 2014 to inform the public about the Project. The District must comply with CEQA prior to approving the Project. District staff determined that the Project meets the definition of both the Class 1 and Class 14 Categorical Exemptions provided in CEQA Guidelines sections 15301 and 15314, respectively. District staff is not aware of unusual circumstances that would except the Project from either categorical exemption. Therefore, the Project is exempt from CEQA as set forth in the Resolution. Once a project is determined to be exempt, the project is no longer subject to either the procedural or substantive requirements of CEQA, and construction of the project can begin upon its approval. Should the Board adopt the Resolution, District staff will file a Notice of Exemption with the Alameda County Clerk.

11.6 District Office Relocation Action recorded
- Fiscal Impact
- Cost: $55,000 per year Term: 5-year lease Access to all City Hall Conference Rooms
- To
- Board of Education
- Minutes
- Dr. McLaughlin explained that the District has the unique opportunity to move the majority of its services for the public to a downtown location. The City of San Leandro has offered an office space located across the hall from the Mayor's Office to be leased by our District, stating that the new location would provide a centralized location for parents and community members to access services, greater access for district office employees to visit school sites, and an opportunity to build stronger relationships with the City of San Leandro and San Leandro Police Department. In addition, by vacating the current location the District could begin the process of renovating the current space to accommodate special education programs that are currently being outsourced. This new space can provide a local option for our special education students and provide a lower cost per student to the school district, thus, saving money. PUBLIC COMMENT Carol Delton, San Leandro Special Education Co-Chair, addressed the Board regarding the proposed move, noting some of the challenges that occurred earlier in the year when portions of the District Office was temporarily housed downtown because of construction. She also spoke to the the proposal of using the Juniper Street site for Special Ed programs, noting her concern about the District taking on this huge task for a relative small district. There was Board discussion on the possible relocation of some district office personnel, including the Superintendent and Cabinet members to the downtown area, to be in closer proximity to City staff. At the conclusion, the Board gave the Superintendent and staff direction to continue exploring the cost and benefits of such a move, to bring back to the Board at a future meeting.
